Wai Sum has extensive experience in the areas of mergers and acquisitions, corporate restructuring, as well as corporate and commercial advisory work.

She has advised both local and international clients on her areas of expertise.

Wai Sum also advises on personal data protection. She has advised clients on the requirements and compliance with the data protection laws in Malaysia on collection, processing, use and transfer of personal data. She has also drafted and reviewed privacy policy.

Wai Sum also advises on TMT-related matters including drafting and negotiating the access agreements to be entered into between the telecommunications infrastructure providers and telecommunications operators.

She acts regularly as Malaysian counsel in outbound initial public offerings on some of the key international bourses, including the Singapore Exchange, the Hong Kong Stock Exchange, the Australian Securities Exchange and the London ISDX.

Wai Sum graduated from Universiti Malaya with an LLB (Hons) in 2002. The following year, she was admitted as an advocate and solicitor of the High Court of Malaya. She also holds a Master of Laws (LLM) from the University of Melbourne.

She was recognised as a “Notable Practitioner” for Corporate and M&A in asialaw 2024. Wai Sum is also seen ranked as a “Leading Partner” for Corporate and M&A by The Legal 500 Asia Pacific 2025 rankings.

Mergers & Acquisitions

  • Acted for a Malaysia PLC in its acquisition of companies which have been awarded a 100-year concession to carry out harvesting, forest management and rehabilitation, and industrial tree planting within the forest reserve area comprising 101,161 hectares in Trus Madi, Sabah for a purchase consideration of RM260 million.
  • Acted for a PLC in China in its proposed acquisition of the processing chemicals manufacturers located in Malaysia and the United Kingdom. We work alongside Chinese and UK counsels in this proposed acquisition.
  • Acted for a PLC in China, a leading provider in communications and mobile payment solutions in its acquisition of a smart cards business in Malaysia.
  • Acted for a PLC in Japan in its acquisition of 90% equity in a local doughnut company.
  • Acted for a PLC in Japan in its acquisition of 60% equity of a human resource outsourcing solutions and management services company.
  • Acted for a PLC in the US in its acquisition of a subsidiary of a Malaysian listed company. The Malaysian company provides information technology and information systems, accounting, human resource, payroll and other support services.
  • Acted as Malaysian counsel for a Norwegian majority state-owned multinational telecommunications company in the proposed merger of companies which own online marketplaces in Malaysia, Vietnam and Myanmar.
  • Acted for a Spanish company in the restructuring of its Malaysia subsidiary prior to its disposal of one of its Malaysia subsidiaries.
  • Acted for one of the Asia’s leading business expansion specialist in several of its acquisitions of client accounting, payroll outsourcing, company secretarial and share registration businesses resulting in its formation as the largest corporate services company in Malaysia.
  • Advised a UK independent electrical engineering group in its joint venture between the foreign company and a local company to engage in the business of providing repair and maintenance services for high voltage generators, HV motors, transformers and ancillary equipment.
  • Advised a Scottish company in its acquisition of certain business from an oil, gas, petrochemical and civil industries company in Sabah.

Real Estate

  • Advised a Fortune 500 company’s subsidiary in Malaysia in its purchase of two pieces of industrial land located in Kawasan Perindustrian Tanjung Langsat, Johor.
  • Advised subsidiary of a PLC in Singapore in its disposal of a steel fabrication facility to a Malaysia REIT. Further advised in relation to the lease back of the steel fabrication facility from the Malaysia REIT.
  • Advised subsidiary of a PLC in Singapore in its acquisition of six pieces of industrial land in Johor.

Equity Capital Markets

  • Acted as Malaysian legal counsel for International Healthway Corporation Limited in its IPO on the SGX with an initial public offering market capitalisation of over SG$770 million.
  • Acted as Malaysian legal counsel for Eindec Corporation Limited in its IPO on the SGX. Eindec Corporation Limited is a subsidiary of Henan PRC real estate company (Weiye Holdings Limited), an air purifier production company.
  • Acted as Malaysian legal counsel for Clearbridge Health Limited in its IPO on the Catalist of SGX.
  • Acted as Malaysian legal counsel for Weiye Holdings Limited counsels in its dual listing on HKSE.
  • Acted as the Malaysian counsel for Anacle Systems in its listing on the Growth Enterprise Market of HKSE.
  • Acted as the Malaysian counsel for a Malaysia online platform company in its IPO on the Australian Securities Exchange (ASX).
  • Acted as the Malaysian counsel for DagangHalal plc (com, the world’s first global e-commerce platform to provide Halal verification) on the admission of its entire issued share capital to trade on ISDX Growth Market in London.
  • Advised Priceworth International Berhad (a PLC) on its private placement, renounceable rights issue and bonus issue.

TMT

  • Advised telecommunications infrastructure providers on access agreement to be entered into with telecommunications operators concern­ing access to telecommunications towers and other telecommunications facilities for purposes of compliance with the Commission Determi­nation on the Mandatory Standards on Access and the Commission Determination on Access List.
