Wan Xin commenced her legal practice in the firm’s Corporate Practice Group, where she developed a strong foundation in banking and financial services.   • Acted as legal adviser and due diligence solicitor for the listing of Lim Seong Hai Capital Berhad on the LEAP Market of Bursa Malaysia Securities Berhad, as well as its proposed transfer of listing to the ACE Market of Bursa Malaysia Securities Berhad.
  • Acted as legal adviser and due diligence solicitor in respect of the proposed listing of a client who is principally involved in the provision of information communication technology solutions on the LEAP market of Bursa Malaysia.
  • Acted as legal adviser and due diligence solicitor for an aluminium products manufacturing company on the Main Market of Bursa Malaysia in respect of the transfer of its listing status, acquisition of land, and the diversification of its principal business activities.
  • Acted as both the transaction solicitor and legal adviser in relation to the proposed acquisition of the entire equity interest in B.H.B Sdn Bhd (a plantation company) and its palm oil mill, along with the relevant plant and machinery, by WTK Holdings Berhad, a company listed on the Main Market of Bursa Securities, from the seller for a total cash consideration of RM250 million, and for the issuance of a circular to seek shareholders’ approval.
  • Acted as both the transaction solicitor and legal adviser in relation to the proposed disposal of equity interest in a joint venture entity by Boustead Heavy Industries Corporation Berhad, a leading defence contractors listed on the Main Market of Bursa Malaysia, for a total cash disposal consideration of RM54 million, and the issuance of a circular to seek shareholders’ approval.
  • Acted as legal adviser and due diligence solicitor in relation to the proposed disposal of equity interest in a few operating subsidiaries in Indonesia by an entity involved in provision of hotel management, wellness services, as well as the development of resorts and properties, listed on the Main Market of Bursa Malaysia, and the issuance of the issuance of a circular to seek shareholders’ approval.
  • Acted as legal adviser and due diligence solicitor for Lagenda Properties Berhad in respect of the issuance of a circular to seek shareholders’ approval for its proposed acquisition of lands in Johor with a total cash consideration of over RM396 million from Seriemas Development Sdn Bhd, a subsidiary of Permodalan Nasional Berhad.
  • Acted as legal adviser for the proposed bonus issue of warrants by a leading manufacturer of disposal rubber gloves listed on the Main Market of Bursa Malaysia.
  • Advised a subsidiary of a listed entity on the Main Market of Bursa Malaysia on the formation of a consortium and submission of the application for a digital banking license to the Central Bank of Malaysia.
  • Advised a corporation in its proposed application to the Securities Commission Malaysia for a ruling to exempt the corporation’s obligation to undertake a mandatory take-over offer for all the remaining ordinary shares and convertible securities in the offeree corporation listed on the Main Market of Bursa Malaysia Securities Berhad, not held by the corporation and its person acting in concert.
  • Acted as the transaction and due diligence solicitor for the issuance of medium-term notes under a medium-term notes programme of RM2.00 billion in nominal value by a real estate investment trust listed on the Main Market of Bursa Malaysia.
  • Acted as the transaction and due diligence solicitor for an Islamic commercial paper programme of up to RM1.75 billion in nominal value based on the Islamic principle of Musharakah by a statutory body fully owned by the Sabah State Government in Malaysia.
