Specialising in infrastructure projects, oil and gas facilities, commercial development, corporate and private equity transactions, franchise law and registration, and ESG-related matters, Joyce brings a wealth of expertise to her role.

Joyce is a member of the Energy, Projects & Infrastructure Practice Group and the Corporate and M&A Practice Group. She brings her expertise to her role at the firm, with a focus on client service across various sectors. Her comprehensive knowledge spans other areas such as corporate law, M&A, franchising, and ESG-related matters.

Energy, Projects & Infrastructure

Joyce has been primarily working with clients and project developments in the power, energy, construction, and infrastructure sectors. She is well-versed in the preparation of engineering, procurement, construction, and commissioning (EPCC) contracts, power purchase agreements as well as related agreements such as operation and maintenance and offtake agreements.

Corporate/M&A

Joyce is also involved in corporate matters and private equity transactions. She has advised on share sale and purchase agreements, joint ventures, and shareholders’ agreement. She also regularly advises clients on general corporate and commercial matters and agreements.

Franchise

Joyce has maintained an active franchise practice where she regularly advises clients on franchise regulations and registration in Malaysia.

ESG

Additionally, Joyce spearheads the Environmental, Social and Governance (ESG) and Sustainability Practice at the firm. She is well-equipped to advise clients on ESG-related matters such as energy transition, carbon capture, use and storage projects, energy efficiency regulations and developing anti-bribery and corruption, whistleblowing, sanctions, and code of conduct frameworks.

Joyce was recently acknowledged as a “Recommended Lawyer” for Projects and Energy by The Legal 500 Asia-Pacific 2025. She has also been recognised as a “Rising Star” in the IFLR1000 2024 for Project Development, and Energy and Infrastructure.

Energy, Projects & Infrastructure

  • Supporting the legal department (under secondment) of PRefChem, an integrated refinery and petrochemicals producer and a strategic alliance of two national oil companies, Petroliam Nasional Berhad (PETRONAS) and Saudi Aramco.
  • Advising a client on a joint venture with an African partner to operate a chlor-alkali chemical manufacturing plant in Africa via a special purpose vehicle, and in particular, the preparation, negotiation and/or finalization of various project documents such as the engineering, procurement and construction contract, operation and maintenance agreement, and shareholders’ agreement.
  • Advising the employer on the preparation, negotiation and/or finalization of the construction documents in relation to the expansion of a hospital infrastructure in Kuala Lumpur.
  • Advising the purchaser on the acquisition of an equity stake in Petronas LNG 9 Sdn Bhd which owns a liquefaction train at the Petronas LNG Complex in Malaysia which is one of the world’s largest LNG production facilities at a single location.
  • Advising the purchaser on the acquisition of an equity stake in a special purpose vehicle incorporated for the development and construction of a children’s hospital in Kuala Lumpur.
  • Advising a state-owned entity on the development and financing of a methanol and methanol derivatives petrochemical plant in Sarawak, Malaysia, including the preparation, negotiation and/or finalization of various project documents such as the engineering, procurement and construction contract, gas sales agreement and methanol sales & purchase agreement.
  • Advising a major real estate developer on a construction interface agreement with the developer of the third light railway transport (LRT3) project in Klang Valley, Malaysia.
  • Advising a large-scale solar power producer in Malaysia on their solar power purchase agreement for electricity generated from their 100MW plant.
  • Advising the purchaser on the acquisition of an equity stake in an engineering, procurement, construction, and commissioning solutions company.

 

Corporate / M&A

  • Advising a private equity fund on the acquisition assets and liabilities of the wholesale and retail businesses of a FMCG group of companies in the Malaysian food industry.
  • Advising the purchaser on the acquisition of an equity stake in an IT solutions and business process management company in India.
  • Advising a private equity fund established by the Government of Malaysia on the divestment of all their equity stake in two managed care organizations in the health insurance industry in Malaysia.
  • Advising a Singaporean private equity fund on the acquisition of an equity stake in a grocery chain in Malaysia.
  • Advising a pension fund on the acquisition of an equity stake in an online wholesale business.
