Energy transition‑driven practitioner at the intersection of ESG, infrastructure and corporate transactions

Andreanna advises domestic and international clients on ESG and sustainability considerations, energy and oil & gas project infrastructure, and public and private M&A, including complex restructurings and joint ventures, bringing a structured approach to integrating commercial, contractual and regulatory considerations.

ESG, Sustainability and Decarbonisation

Andreanna leads the firm’s ESG advisory practice, advising local and international clients on the legal and regulatory dimensions of sustainability across Malaysia and the broader region. Her work spans climate-related obligations, labour and governance considerations, and their interaction with corporate structures, transactions and project development. Her practice is closely connected to the application of ESG considerations in commercial and transactional contexts. She advises on sustainability reporting and disclosure considerations, greenwashing risk, and compliance with evolving regulatory standards, particularly where these arise in the course of transactions, project structuring and ongoing corporate advisory work.

Andreanna also advises on carbon markets and carbon credit projects, including the generation, verification and commercialisation of carbon credits, and the associated contractual, structuring and regulatory considerations. This work is often linked to broader decarbonisation objectives, particularly where carbon market mechanisms form part of transition strategies within corporate groups or project arrangements.

Project Infrastructure

Andreanna advises on project infrastructure matters in the energy and oil & gas sectors in Malaysia, acting for lenders, independent power producers and other stakeholders in relation to greenfield developments and associated commercial arrangements. Her experience includes advising on and negotiating key project documents such as capital contribution agreements, concession agreements, gas supply agreements, power purchase agreements and jetty usage arrangements, as well as broader project structuring issues. She is regularly involved in the interface between project documentation and shareholder arrangements, particularly where risk allocation and funding obligations are closely interlinked.

M&A/Corporate

Andreanna’s practice is grounded in corporate finance and securities law, with significant experience advising local and international clients on both public and private M&A transactions, including complex reorganisations of listed groups and cross-border joint ventures. She has advised on capital markets and regulatory matters, including private and secondary placements, structured warrants, employee share option schemes, REITs and general corporate advisory. She also applies this experience in her infrastructure and ESG work, advising on shareholders’ arrangements and capital contribution frameworks in project structures, including those involving sustainability and carbon-related components.

  • Advised Tenaga Nasional Berhad, Malaysia’s largest electricity utility company, on its internal restructuring to split its core businesses of domestic power generation and electricity retail business businesses to newly incorporated subsidiaries, as part of its strategic transformation plan.
  • Advised Bank Pembangunan Malaysia Berhad on the acquisition of EXIM Bank and SME Bank as part of the consolidation of Malaysia’s development financial institutions.
  • Advised Malaysia Building Society Berhad in its acquisition of MIDF Group, completion of which has created the second largest Islamic banking group in Malaysia.
  • Advised Bank Pembangunan Malaysia Berhad in its merger with Danajamin under via scheme under the Development Financial Institutions Act 2002.
